Terms of Service

3.1 Scope Lockdown: All engineering sprints begin with a collaborative discovery and technical scoping phase. The features, user stories, third-party integrations, and technical stack are finalized and locked at the conclusion of Week 1.

3.2 Scope Changes & Feature Requests: Any feature additions or substantial architectural pivots requested after scope lockdown will be evaluated for complexity and either scheduled into a post-launch milestone or billed under a separate scope addendum.

3.3 Client Cooperation & Approvals: Rapid delivery requires prompt communication. The Client agrees to provide necessary brand assets, API credentials, domain DNS access, and milestone feedback within 48 business hours of request to avoid sprint delivery delays.

4.1 Pricing & Invoicing: All project fees are quoted in US Dollars (USD) or Indian Rupees (INR) and are exclusive of applicable statutory taxes (e.g. GST) unless explicitly stated.

4.2 Standard Sprint Milestone Schedule: Unless custom terms are defined in a formal statement of work:

• 50% Initial Deposit: Due prior to project kickoff to reserve engineering capacity and begin architecture scoping.
• 25% Mid-Sprint Milestone: Due upon completion of database architecture, core business logic, and staging environment review.
• 25% Final Delivery: Due upon final production deployment, QA sign-off, and complete repository handover.

4.3 Payment Methods: We accept payments via Stripe, Dodo Payments, direct wire transfer, and major corporate credit/debit cards. Third-party cloud infrastructure costs (e.g. AWS, Vercel, Supabase, OpenAI API tokens) are paid directly by the Client to the respective infrastructure vendors.

5.1 Source Repository Handover: We transfer full administrative ownership of the GitHub/GitLab repository, production deployment instances, and database access directly to your company accounts.

5.2 Open-Source & Third-Party Libraries: Software built may utilize industry-standard open-source libraries (e.g. React, Next.js, Tailwind CSS, MIT/Apache licensed packages). Such components remain governed by their respective open-source licenses.

5.3 Portfolio & Case Studies: Unless restricted by an executed Non-Disclosure Agreement (NDA), SuperMVP reserves the right to showcase high-level technical architecture, anonymized performance metrics, and project screenshots in our engineering portfolio and case studies.

9.1 Professional Standards: SuperMVP warrants that all engineering work will be performed in a professional, workmanlike manner adhering to modern software engineering best practices.

9.2 Third-Party Infrastructure Disclaimer: We are not liable for service outages, API pricing changes, or disruptions caused by third-party cloud providers (e.g. OpenAI, Supabase, Vercel, Stripe, AWS).

9.3 Commercial Outcomes: While we build scalable, high-performance software, we do not warrant or guarantee commercial success, user acquisition volumes, or investor funding.

11.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

11.2 Jurisdiction: Any legal proceedings arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in Indore, Madhya Pradesh, India.

11.3 Amicable Resolution: Prior to initiating any formal legal proceeding, the parties agree to engage in good-faith executive discussions for a minimum of 30 days to resolve any dispute.
