2.1 Software Development Services (Supermvp.Agency)

MVP (Minimum Viable Product) development for startups and businesses, including:

• Custom web application development
• Full-stack software development
• MVP design and development
• Technical consulting and advisory services
• Post-launch support and maintenance

2.2 myai.meme — AI-Powered Meme Generator

A web-based SaaS application available at myai.meme that allows users to upload photos and generate AI-powered meme captions. The service is available in the following tiers:

• Free Tier: 5 memes per day, all 6 caption styles, download & share, myai.meme watermark
• Pro Tier (USD $6.99/month): Unlimited memes, all 6 caption styles, download & share, no watermark, priority generation

4.1 General Pricing: Prices are listed in Indian Rupees (INR) or US Dollars (USD) and are subject to change with notice. All prices are exclusive of applicable taxes (including GST).

4.2 myai.meme Subscriptions:

• The Pro subscription is billed monthly at USD $6.99/month (or equivalent in local currency)
• Subscriptions auto-renew at the end of each billing cycle unless cancelled before the renewal date
• You may cancel your subscription at any time through your account settings or by contacting us
• No partial refunds are provided for unused portions of the current billing cycle unless otherwise stated in our Cancellation & Refund Policy
• We reserve the right to change subscription pricing with 30 days' advance notice

4.3 Agency Project Payments: Unless otherwise agreed in writing, payment for development projects follows this schedule:

• 50% upfront payment before project commencement
• 25% payment at mid-project milestone
• 25% final payment upon project completion

4.4 Payment Methods: We accept payments via credit/debit cards, UPI, bank transfer, and other methods available at checkout. All payments are processed securely through Dodo Payments or other authorized payment processors.

4.5 Late Payments: For agency projects, payments not received within 7 days of the due date may result in project suspension. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law, whichever is less.

4.6 Taxes: You are responsible for paying all applicable taxes (including GST/VAT) associated with your purchase.

5.1 User-Uploaded Content (myai.meme):

• You retain ownership of photos you upload to myai.meme
• By uploading content, you grant us a temporary, limited license to process the image for meme generation
• We do not store your uploaded photos permanently — images are processed in real time and deleted immediately after meme generation
• You are solely responsible for ensuring you have the right to upload and use the photos

5.2 AI-Generated Content:

• Meme captions are generated by artificial intelligence (Google Gemini) and may not always be accurate, appropriate, or factual
• We do not guarantee that AI-generated captions will be suitable for all audiences or contexts
• You are responsible for reviewing and approving any AI-generated content before sharing
• We are not liable for any consequences arising from the use or sharing of AI-generated memes

5.3 Prohibited Uses: You agree not to:

• Upload or generate content that is illegal, defamatory, obscene, or infringes on third-party rights
• Use the Services to harass, bully, or threaten any individual
• Upload content involving minors in an inappropriate manner
• Attempt to reverse-engineer, decompile, or exploit the AI systems
• Use bots, scrapers, or automated tools to access the Services
• Circumvent usage limits or payment requirements
• Use the Services for any unlawful purpose

We reserve the right to suspend or terminate accounts that violate these terms without notice or refund.

6.1 myai.meme Pro Subscriptions:

• You may cancel your subscription at any time; access continues until the end of the billing period
• Refunds for the current billing cycle are available within 48 hours of payment if the service has not been substantially used
• No refunds for prior billing cycles or after substantial use in the current cycle

6.2 Agency Development Services:

• Full refund before project commencement if no work has started
• Partial refunds based on work completed after project has commenced
• Refund requests must be submitted via email to devintensity@gmail.com
• Approved refunds are processed within 7-14 business days

7.1 myai.meme Subscription Cancellation:

• Cancel anytime through your account settings or by emailing devintensity@gmail.com
• Your Pro features remain active until the end of the current billing period
• After cancellation, your account reverts to the Free tier
• No cancellation fees apply to subscription cancellations

7.2 Agency Project Cancellation:

• 48-hour cooling-off period with full refund if no work has commenced
• 7 business days written notice required for mid-project cancellations
• Charges apply for work completed plus applicable cancellation fees

8.1 Our Intellectual Property: The Services, including myai.meme, our website, logos, branding, AI models, software, and all related intellectual property are owned by us or our licensors. You may not copy, modify, distribute, or create derivative works without our express written permission.

8.2 Agency Project Ownership: Upon full payment, you will own the custom code and designs created specifically for your project. We retain ownership of pre-existing code, reusable components, and proprietary methodologies.

8.3 User Content License: You retain ownership of your uploaded photos. Generated memes (combining your photo with AI captions) may be used freely by you for personal and commercial purposes.

8.4 Portfolio Rights: We reserve the right to showcase agency projects in our portfolio unless you explicitly request otherwise in writing.

9.1 Service Warranty: For agency projects, we warrant that services will be performed in a professional manner. We will fix bugs reported within 30 days of final delivery at no additional cost.

9.2 myai.meme: The myai.meme service is provided on an "as-is" and "as-available" basis. We do not guarantee uninterrupted access, error-free operation, or specific results from AI-generated captions.

9.3 General Disclaimer: EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

12.2 Jurisdiction: Any disputes shall be subject to the exclusive jurisdiction of the courts in Indore, Madhya Pradesh, India.

12.3 Dispute Resolution: Before initiating any legal proceedings, both parties agree to attempt resolution through good-faith negotiations for at least 30 days.

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:

• Your right to use our Services will immediately cease
• For myai.meme: your account will be deactivated and you will lose access to Pro features
• For agency projects: any amounts owed will become immediately due
• Provisions that by their nature should survive termination will continue to apply

15.1 Entire Agreement: These Terms, along with our Privacy Policy and Cancellation & Refund Policy, constitute the entire agreement between you and Supermvp.Agency.

15.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

15.3 Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

15.4 Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
