Terms of Service

4.1 Pricing: All prices are listed in Indian Rupees (INR) or US Dollars (USD) and are subject to change with notice. The price agreed upon in your service agreement or invoice is the price you will pay.

4.2 Payment Schedule: Unless otherwise agreed in writing, payment terms are as follows:

• 50% upfront payment before project commencement
• 25% payment at mid-project milestone
• 25% final payment upon project completion

4.3 Payment Methods: We accept payments via bank transfer, credit/debit cards, UPI, and other payment methods as displayed at checkout. All payments are processed securely through Stripe or other authorized payment processors.

4.4 Late Payments: Payments not received within 7 days of the due date may result in project suspension until payment is received. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less.

4.5 Taxes: All prices are exclusive of applicable taxes (including GST). You are responsible for paying all applicable taxes associated with your purchase.

Our refund policy is designed to be fair to both parties while protecting the work we've completed. This policy complies with Indian consumer protection laws and regulations.

5.1 Eligibility for Refunds:

• Before Project Commencement: Full refund of any payments made if the project has not started and no work has been delivered.
• After Project Commencement: Partial refunds may be available based on work completed. Refund amount = Total Paid - (Work Completed Percentage × Total Project Cost) - Processing Fees (5%).
• Non-Delivery: Full refund if we fail to deliver the agreed services within the timeframe specified in the service agreement, unless delays are caused by client-side factors.

5.2 Non-Refundable Items:

• Work that has been completed and delivered
• Third-party service costs (hosting, domains, licenses, etc.)
• Custom development work that has been approved by the client
• Payment processing fees

5.3 Refund Request Process:

1. Submit a refund request via email to hemantmanwani.iitr@gmail.com
2. Include your order/invoice number and reason for refund
3. We will review your request within 7 business days
4. Approved refunds will be processed within 14 business days
5. Refunds will be issued to the original payment method

5.4 Refund Timeline: Approved refunds are processed within 7-14 business days. Depending on your payment method and financial institution, it may take an additional 5-10 business days for the refund to appear in your account.

Both parties have the right to cancel the service agreement under certain conditions. This policy complies with the Indian Contract Act, 1872 and Consumer Protection Act, 2019.

6.1 Client-Initiated Cancellation:

• Before Project Start: You may cancel without penalty before project commencement. Full refund of any advance payments.
• During Project: You may cancel at any time by providing 7 days written notice. You will be charged for work completed up to the cancellation date plus a 10% cancellation fee on remaining amount.
• Post-Delivery: No cancellations or refunds after final delivery has been accepted and payment completed.

6.2 Company-Initiated Cancellation:

We reserve the right to cancel or suspend services if:

• Payment is not received as per the agreed schedule
• You violate these Terms of Service
• The project requirements are substantially different from what was agreed
• We are unable to deliver services due to circumstances beyond our control

In such cases, you will receive a refund for any work not completed, minus any amounts due for work already delivered.

6.3 How to Cancel:

1. Send a written cancellation request to hemantmanwani.iitr@gmail.com
2. Include your project details and reason for cancellation
3. We will acknowledge receipt within 2 business days
4. A final invoice/refund calculation will be provided within 5 business days
5. Any applicable refunds will be processed per the Refund Policy above

6.4 Cooling-Off Period: In accordance with Indian consumer protection laws, you have a cooling-off period of 48 hours from the time of payment to cancel your order for a full refund, provided no work has commenced.

7.1 Ownership: Upon full payment, you will own the custom code and designs created specifically for your project. However, we retain ownership of:

• Pre-existing code, libraries, and frameworks
• Reusable components and tools
• Our proprietary methodologies and processes

7.2 License: We grant you a non-exclusive, perpetual license to use any third-party components included in your project, subject to the terms of their respective licenses.

7.3 Portfolio Rights: We reserve the right to showcase your project in our portfolio and marketing materials unless you explicitly request otherwise in writing.

8.1 Service Warranty: We warrant that services will be performed in a professional and workmanlike manner. We will fix any bugs or issues reported within 30 days of final delivery at no additional cost.

8.2 Disclaimer: EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that services will be uninterrupted, error-free, or meet all your requirements.

11.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

11.2 Jurisdiction: Any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Indore, Madhya Pradesh, India.

11.3 Dispute Resolution: Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiations for at least 30 days.

14.1 Entire Agreement: These Terms constitute the entire agreement between you and Supermvp.Agency regarding our services.

14.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

14.3 Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

14.4 Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
